Executive Managing Agent (EMA)?

An EMA is a qualified managing agent appointed to perform all the functions and exercise the powers of the trustees of a body corporate, as outlined in Prescribed Management Rule (PMR) 28 of the Sectional Titles Schemes Management Act (STSMA)

Duties of an EMA?

Upholding fiduciary duties to all members of the body corporate
Managing the scheme with professional skill and care
Reporting every 4 months to members on finances, maintenance, and decision
Inspecting common property every 6 months

EMA qualifications and requirements:

Be registered with the Estate Agents Affairs Board
Hold a valid Fidelity Fund Certificate
Have an NQF5 qualification
Maintain professional indemnity insurance

How is an EMA appointed?

An EMA is appointed by a special resolution passed by at least 75% of the members of the body corporate (both in value and number). If this cannot be achieved, members holding at least 25% of the total quotas may apply to the Community Schemes Ombud Service (CSOS) for the appointment of an EMA

Does the appointment of an EMA replace the
need for trustees?

While the EMA takes over the responsibilities of trustees, the scheme must still have at least the minimum number of trustees (two). However, a full trustee committee may not be necessary

How is the EMA remunerated?

The remuneration of an EMA is determined by the owners in the scheme, and must be agreed upon in the management agreement. It is not fixed by law.

Is WPM the EMA for any other buildings?

We are already the Executive Managing Agents for more than 20 other schemes for example:

Greenstone Gate (368 units) with WPM as the EMA and Angor as the MA (yes, this can be done as WPM is a professional, ethical company).

Argyle Green (48 units) with WPM fulfilling the role of EMA and MA.

Why would a scheme appoint an EMA?

Common reasons include:

Desire for professional oversight and accountability

Difficulty in finding willing or capable trustees.

Poor management or internal conflict among trustees.

Can an EMA be removed?

Yes, but it requires either:

A special resolution by the body corporate.

An application to CSOS if the EMA is not performing adequately.
